These terms apply to digital products sold by Open Goal Consulting Ltd trading as Open Goal Consulting (“Open Goal Consulting”, “we”, “us” or “our”) through opengoalconsulting.co.uk. They sit alongside the relevant product description and the information shown at checkout. Nothing in these terms removes any statutory rights that cannot lawfully be excluded.
1. What you are buying
Our digital products may include Excel workbooks and dashboards, Word templates, PDF guides, handbooks, checklists, example documents, implementation tools and downloadable packs. The exact files and features included in your purchase are those described on the relevant product page at the time you order.
Your purchase gives you a licence to use the digital product. Unless we expressly say otherwise, ownership of the underlying Open Goal Consulting product, templates, structure, design and intellectual property does not transfer to you.
2. One-organisation licence and permitted use
Unless a product page expressly states otherwise, each purchase is licensed to one purchasing organisation. The organisation may allow its trustees, directors, committee members, employees and volunteers to use the product for that organisation’s own internal purposes.
You may make reasonable internal copies and working copies, add your organisation’s name, logo, colours and branding, and adapt editable materials to reflect your own roles, procedures, thresholds, dates, governance arrangements and operations.
Where it is normal or necessary for your organisation to publish a final document – for example an adopted complaints policy, privacy notice or governance policy – you may publish your completed, organisation-specific version. This does not permit publication of the original editable master, blank Open Goal Consulting template, full toolkit, dashboard, guide, workbook or source materials.
3. What is not permitted
You must not, without our prior written permission:
- resell, rent, license, sublicense or commercially exploit the digital product;
- redistribute or give the product, editable masters or substantial parts of it to another organisation;
- share the product publicly or upload editable masters to a public website, shared public drive, template library or online repository;
- share a single purchase across unrelated organisations, clubs, charities, companies or clients as a substitute for each organisation purchasing its own licence;
- repackage, white-label or present the Open Goal Consulting product itself as your own product or service for sale or distribution; or
- remove copyright, licence or ownership notices from source materials where those notices are intended to remain.
If a group structure, network, consultant or umbrella body wants to use a product across more than one separate organisation, please contact us to discuss the appropriate licence.
4. Ordering, immediate supply and downloads
Prices and the files included are shown on the relevant product page and at checkout. Payment is processed through the payment methods offered at checkout. Digital products are normally made available once payment is successfully completed.
For digital content supplied immediately, customers who have a statutory 14-day cancellation right are asked at checkout to give express consent to immediate supply and to acknowledge that the cancellation right is lost once supply or download begins.
Some products may have a download-attempt limit. If a limit applies, it will be stated or enforced through the download system. The Complete Governance Toolkit is currently supplied with a maximum of three download attempts per order. Other products may be supplied without a fixed attempt limit. Unless a product says otherwise, download links do not guarantee permanent cloud storage: you are responsible for saving a secure local copy after purchase.
If a genuine technical issue prevents you from accessing a purchased file, contact us and we will reasonably investigate the access problem.
5. Software and customer responsibilities
You are responsible for having suitable devices, software and licences to open, edit and use the files supplied. Products may use common formats such as .xlsx, .docx, .pdf or .zip. Compatibility can vary by software version, operating system, browser, security settings and third-party applications.
You are responsible for maintaining your own backups, access controls, passwords, device security, antivirus protection and appropriate data-protection practices. You should test adapted documents, formulas, links and processes before relying on them in live operations.
Where a product contains formulas, trackers or example data, you remain responsible for the accuracy of information you enter and for checking outputs before making decisions.
6. What support is and is not included
Unless the product page expressly includes additional support, the purchase price covers the digital files and the guidance supplied with them. It does not include bespoke consultancy, legal review, regulatory advice, accounting advice, tax advice, HR advice, policy approval, customisation, data entry, implementation work, staff training or ongoing project management.
We will provide reasonable help with genuine download-access issues or files that are corrupted or materially different from the product description. Bespoke support can be discussed separately through our consultancy services.
7. Cancellation and refunds for digital content
If you are purchasing as a consumer, UK distance-selling rules normally provide a 14-day cancellation period for digital content not supplied on a tangible medium. However, where you expressly ask us to begin supplying the digital content during that period and acknowledge that you will lose the right to cancel, the right to cancel ends once supply begins.
Accordingly, once an immediate digital download or other digital supply has begun following the required consent and acknowledgement, we do not normally provide a change-of-mind refund. This does not affect rights or remedies that apply where digital content is faulty, not as described, or otherwise fails to meet applicable legal requirements.
If you are buying wholly or mainly for your trade, business, craft, profession or organisation, consumer cancellation rights may not apply. Any discretionary cancellation or refund outside statutory rights is at our reasonable discretion unless we have agreed otherwise in writing.
8. If there is a problem with the digital content
We aim to supply digital products that match their description and work as described when used with suitable software. If you believe a file is missing, corrupted, materially not as described or otherwise does not meet rights that apply to your purchase, contact us with your order details and a description of the problem.
Where consumer law applies, nothing in these terms excludes or restricts rights that cannot lawfully be excluded, including applicable rights relating to satisfactory quality, fitness for a particular purpose and digital content being as described.
9. Practical guidance – not bespoke professional advice
Our products are designed to provide practical templates, examples, management tools and general guidance. They are not a substitute for advice tailored to your organisation and are not bespoke legal, regulatory, tax, accounting, HR, safeguarding, data-protection or other professional advice.
You must review and tailor materials to your own legal structure, governing document, regulator, funder requirements, policies, activities, staffing arrangements, risk profile and day-to-day operations. Changing only the organisation name or logo may not be sufficient.
You remain responsible for deciding whether a template is appropriate, obtaining any required board or committee approval, keeping documents up to date and seeking qualified professional advice where the issue requires it.
10. Intellectual property and copyright
Unless expressly stated otherwise, copyright and other intellectual property rights in Open Goal Consulting digital products, including their original wording, layout, structure, dashboards, formulas, guides, methods, graphics and source templates, are owned by or licensed to Open Goal Consulting Ltd.
Your licence permits the internal organisational use and personalisation described in these terms. It does not transfer ownership of the underlying intellectual property. Your organisation remains responsible for, and owns as applicable, its own data, branding and genuinely original content that it adds to the materials.
11. Reasonable limitation of liability
Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights and remedies.
If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these terms or failure to use reasonable care and skill, but we are not responsible for losses that were not foreseeable. Where you use a product for business or organisational purposes, business losses are dealt with below.
If you purchase for a business, charity, club, CIC, CASC or other organisation, then to the fullest extent permitted by law: we are not liable for indirect or consequential loss, or for loss of profit, revenue, funding opportunity, anticipated savings, goodwill or business; and our total aggregate liability arising from the relevant digital product is limited to the amount paid to us for that product. This limitation does not apply to liabilities that cannot lawfully be limited.
We are not responsible for decisions made solely on the basis of a template or dashboard without the customer carrying out the checks, tailoring and professional review reasonably required for its own circumstances.
12. Complaints and contact
If you have a complaint, download problem or question about these terms, please use the Open Goal Consulting contact page and include your name, organisation, order number where applicable, and a clear description of the issue. We will aim to acknowledge and deal with complaints within a reasonable time.

13. General and governing law
If any part of these terms is found to be invalid or unenforceable, the remaining terms will continue to apply. A delay in enforcing a right does not waive that right.
These terms are governed by the law of England and Wales. If you are a consumer, this does not remove any mandatory protections or rights you have under applicable law, including any mandatory rights concerning where you may bring proceedings.
